Jersey has announced significant enhancements to its Jersey Private Fund (JPF) regime, reflecting the Island’s continued commitment to building on the JPF’s success. Key updates include the removal of the 50 offer/investor cap, a widened definition of "professional investor", 24-hour authorisation, and listing options. In Byers v Chen Ningning, the BVI Court of Appeal ordered the sole director of a company to pay US$13M after breaching her fiduciary duties by making a payment to one creditor in preference over the other creditors in circumstances where the company was insolvent. The decision is a reminder that directors' duties to act in the best interests of the company are extended to include the interests of the company’s creditors as a whole when a company is insolvent or insolvency is imminent. Any loss to the general body of creditors is equated with that of the company and balance sheet neutrality cannot be relied upon as a defence. Any financial benefit to the director is not a relevant consideration in determining whether the company suffered any loss because of the director's breach of their duties.
